ARTICLE 2 – Scope of the General Terms and Conditions of Sale

These General Terms and Conditions of Sale apply, without restriction or reservation, to all sales concluded by AIRBORNE (the “Seller”) with consumers and non-professional buyers (the “Customers” or the “Customer”) (also referred to individually as a “Party” and collectively as the “Parties”) wishing to purchase the products offered for sale by the Seller (the “Products”) on the website www.airborne.fr.

They set out in particular the conditions for ordering, payment, delivery and handling of any returns of Products ordered by Customers.
These General Terms and Conditions of Sale may be supplemented by special conditions, set out on the website, prior to any transaction with the Customer.
These General Terms and Conditions of Sale apply to the exclusion of all other conditions, in particular those applicable to in-store sales or sales through other distribution and marketing channels.
These General Terms and Conditions of Sale are systematically provided to every Customer before an order is placed and shall, where applicable, prevail over any other version or any other conflicting document.
They are available at all times on the website www.airborne.fr.
The Customer declares that they have read and accepted these General Terms and Conditions of Sale before placing their order. Confirmation of the order by the Customer constitutes acceptance, without restriction or reservation, of these General Terms and Conditions of Sale.
As these General Terms and Conditions of Sale may be amended in the future, the version applicable to the Customer’s purchase is the one in force on the website on the date the order is placed.
These General Terms and Conditions of Sale remain in force for as long as they appear on the website.
Amendments to these General Terms and Conditions of Sale are binding on users of the website www.airborne.fr from the time they are published online and cannot apply to transactions concluded previously.

The Customer must read this information before placing any order.
The choice and purchase of a Product are the sole responsibility of the Customer.
The photographs and graphics shown on the website www.airborne.fr are not contractually binding and shall not give rise to any liability on the part of the Seller.
The Customer must refer to the description of each Product to learn of its properties, essential features and delivery times, and, in the case of continuous or periodic supply of goods, the minimum duration of the proposed contract.
Contractual information is presented in French and is confirmed no later than at the time the Customer validates the order.
Product offers are valid while stocks last, as specified when the order is placed.
The Products presented on the website www.airborne.fr are offered for sale in the following territories: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, the Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain and Sweden. For orders to a country other than mainland France, the Customer is the importer of the Product(s) concerned.
Customs duties or other local taxes, import duties or state taxes may be payable. These shall be borne by, and are the sole responsibility of, the Customer.
Unless proven otherwise, the data recorded in the Seller’s computer system constitutes proof of all transactions concluded with the Customer.
In accordance with the French Data Protection Act of 6 January 1978, as strengthened and supplemented by the GDPR (General Data Protection Regulation), which came into force on 25 May 2018, the Customer has, at any time, the right to access, rectify, object to, erase and port all of their personal data by writing to the Seller at the address given above, with proof of identity.
Please note:
A minor may consent alone to the processing of personal data in connection with the direct offer of information society services from the age of fifteen.
The Customer confirms that they have the legal capacity required to enter into a contract and purchase the Products offered on the website www.airborne.fr.

ARTICLE 4 – Orders
4-1. Placing an order
The Customer selects the Products they wish to order on the website www.airborne.fr as follows:
4.1.1. Selecting Products
To select the Product(s) of their choice, the Customer is invited to log in to their Account or create an Account, under the conditions set out in the Terms of Use. The Customer selects the Product(s) of their choice by clicking on the Product(s) concerned and choosing the desired quantity and, where applicable, the characteristics of the desired Product (colour, size, etc.). Once selected, the Product is placed in the Customer’s basket. The Customer may add as many Products to their basket as they wish.
4.1.2. Orders
Once the Product is in their basket, the Customer can check the details of their order and its total price, and correct any errors before confirming their acceptance. It is the Customer’s responsibility to check that the order is accurate and to report or correct any error immediately.
An order is registered on the website www.airborne.fr when the Customer accepts these General Terms and Conditions of Sale by ticking the box provided for this purpose and confirms the order. This confirmation implies acceptance of these General Terms and Conditions of Sale in their entirety, as well as the Terms of Use of the website www.airborne.fr.
After checking their Order, the Customer may proceed to secure payment for the Product(s) by following the instructions in the Payment Service Provider’s secure area.
The sale is final only once the Seller has sent the Customer an email confirming acceptance of the order, which must be sent without delay, and after the Seller has received the full amount of the deposit due.
Any order placed, confirmed by the Customer and accepted by the Seller under the conditions and in the manner described above on the website www.airborne.fr constitutes the formation of a distance contract between the Customer and the Seller.
The Seller reserves the right to cancel or refuse any order from a Customer with whom there is a dispute concerning payment for a previous order.
The Customer can track the progress of their order on the website www.airborne.fr.
The Seller does not intend to sell the Products on the website www.airborne.fr to professionals, but only to consumers or non-professionals for their personal needs.

4-2. Changes to an order
Any changes to the order requested by the Customer can only be taken into account by the Seller insofar as possible, and provided they are notified to the Seller by email or telephone at least 24 hours before the scheduled shipping date.
If the Seller is unable to accept these changes, any sums paid by the Customer when placing the order will be refunded within a maximum of 10 days from notification that the requested changes cannot be accepted (unless the Customer prefers a credit note).

4-3. Cancellation of an order
Once confirmed and accepted by the Seller under the conditions described above, the order cannot be cancelled, except through the exercise of the right of withdrawal or in the event of force majeure.
In the event of late cancellation of the order by the Customer, less than 2 days before the scheduled delivery date, and other than through the exercise of the right of withdrawal or in the event of force majeure, the Seller may charge the Customer a fee corresponding to the costs actually incurred in preparing and shipping the order, up to a maximum of 10% of the total purchase amount.

ARTICLE 5 – Prices
The Products are supplied at the prices in force shown on the website www.airborne.fr at the time the order is registered by the Seller. Prices are expressed in euros, excluding VAT and including VAT.
Prices take into account any discounts that may be granted by the Seller on the website www.airborne.fr.
These prices are firm and not subject to revision during their period of validity, as indicated on the website www.airborne.fr; outside this period of validity, the Seller reserves the right to change prices at any time. They do not include handling, shipping, transport and delivery costs, which are charged in addition under the conditions indicated on the website www.airborne.fr and calculated before the order is placed.
If the Customer requests a faster or more expensive shipping method than standard shipping, the additional handling, shipping, transport and delivery costs, as calculated before the Customer confirms the order, are borne entirely by the Customer.
The payment requested from the Customer corresponds to the total amount of the purchase, including these costs.
An invoice is issued by the Seller and given to the Customer upon delivery of the Products ordered.

Orders based on a quotation
Specific orders from the Customer may be considered. Where applicable, they will be subject to a quotation that must first be accepted by the Customer. Quotations issued by the Seller are valid for 30 days from their date of issue.
An order based on a quotation is considered accepted only after payment in full of the order amount.
An invoice is issued by the Seller and given to the Customer upon delivery of the Products ordered.
Any announcement of a price reduction must indicate the price charged by the Seller before the reduction was applied, this previous price being defined as the lowest price charged by the Seller to all Customers during the thirty days preceding the application of the price reduction.

ARTICLE 6 – Payment terms
The price is payable in cash, in full, on the day the Customer places the order, by secure payment, using the following methods:

  • via STRIPE, which handles the following cards: Carte Bancaire, Visa, MasterCard, American Express and other bank cards;

  • via PayPal, in 1 instalment or 4 interest-free instalments;

  • via Klarna, in 3 interest-free instalments;

  • by cheque, on request by email to contact@airborne.fr;

  • by bank transfer, on request by email to contact@airborne.fr.

Payment by bank card is irrevocable, except in the event of fraudulent use of the card. In that case, the Customer may request cancellation of the payment and refund of the corresponding sums.
Cheques must be drawn on a bank located in mainland France or Monaco.
Cheques are cashed upon receipt.
Payment data is exchanged in encrypted form using the SSL encryption protocol.

ARTICLE 7 – Delivery of the Products ordered
Delivery of the Products means the transfer to the Customer of physical possession or control of the Products ordered.
In accordance with Article L 216-4 of the French Consumer Code, delivery of the Products is accompanied by the user manual, installation instructions and a written document stating the possibility of making reservations, as well as the commercial guarantee.
Products ordered by the Customer will be delivered in mainland France within 5 to 10 working days of shipment of the order (the shipping time shown on the Product page, plus processing and transit time), to the address provided by the Customer when ordering on the website www.airborne.fr.
Products ordered by the Customer will be delivered in the following countries: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, the Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain and Sweden, within 7 to 20 working days of shipment of the order (the shipping time shown on the Product page, plus processing and transit time), to the address provided by the Customer when ordering on the website www.airborne.fr.
Except in special circumstances or if one or more Products are unavailable, the Products ordered will be delivered in a single shipment.
The Seller undertakes to use its best efforts to deliver the Products ordered by the Customer within the timeframes specified above.
However, these timeframes are given for information only.
If the Products ordered have not been delivered within 30 days of the estimated delivery date, for any reason other than force majeure or the Customer’s own actions, the Customer may notify the Seller, under the conditions set out in Article L 216-6 of the French Consumer Code, of:

  • the suspension of payment of all or part of the price until the Seller performs its obligations, under the conditions set out in Articles 1219 and 1220 of the French Civil Code (exception for non-performance); or

  • the termination of the sale, after giving the Seller formal notice to perform within a reasonable additional period which the Seller has failed to meet.

Termination may be immediate if the Seller refuses to perform, if it is clear that it will be unable to deliver the Products, or if the missed delivery deadline was an essential condition of the sale for the Customer.
In the event of termination of the sale, the sums paid by the Customer will be refunded no later than fourteen days after the date of termination of the contract, without any compensation or deduction.
The Seller bears the transport risks and is required to reimburse the Customer for any damage caused during transport.
Deliveries are made by an independent carrier to the address given by the Customer when ordering, which must be easily accessible to the carrier.
If the Customer has chosen their own carrier, they acknowledge that it is that carrier’s responsibility to make the delivery, and they have no recourse under warranty against the Seller in the event of failure to deliver the goods transported.

ARTICLE 8 – Transfer of ownership – Transfer of risk
Ownership of the Seller’s Products will only be transferred to the Customer once the Customer has paid the price in full, regardless of the date of delivery of the Products.
Regardless of the date of transfer of ownership of the Products, the risk of loss and damage will only be transferred when the Customer takes physical possession of the Products, which are therefore transported at the Seller’s risk, except where the Customer uses a carrier of their own choosing, independent of the Seller, in which case risk is transferred when the Seller hands the ordered Products over to the carrier chosen by the Customer.

ARTICLE 9 – Seller’s liability – Guarantees
The Products sold on the website www.airborne.fr comply with the regulations in force in France and are designed for non-professional use.
The Products supplied by the Seller automatically benefit, at no additional cost and independently of the right of withdrawal, in accordance with legal provisions, from:

  • the legal guarantee of conformity, for Products that are apparently defective, damaged or do not correspond to the order;

  • the legal guarantee against hidden defects resulting from a defect in material, design or manufacture affecting the products delivered and making them unfit for use.

9-1. Legal guarantee of conformity
The Seller undertakes to deliver goods that conform to the contractual description and to the criteria set out in Article L217-5 of the French Consumer Code.
The Seller is liable for any lack of conformity existing at the time of delivery of the Products that becomes apparent within two years of delivery.
This guarantee period applies without prejudice to Articles 2224 et seq. of the French Civil Code, with the limitation period starting from the day the Customer becomes aware of the lack of conformity.
Any lack of conformity that becomes apparent within twenty-four months (or twelve months for second-hand goods) of delivery of the Products is presumed, unless proven otherwise, to have existed at the time of delivery.
In the event of a lack of conformity, the Customer may require the Products delivered to be brought into conformity by repair or replacement or, failing that, a price reduction or termination of the sale, under the conditions provided by law.
The Customer may also suspend payment of all or part of the price, or delivery of the benefit provided for in the contract, until the Seller has fulfilled its obligations under the legal guarantee of conformity, under the conditions of Articles 1219 and 1220 of the French Civil Code.
It is up to the Customer to ask the Seller to bring the Products into conformity, choosing between repair and replacement. The goods must be brought into conformity within a period not exceeding thirty days from the Customer’s request.
Repair or replacement of the non-conforming Product includes, where applicable, its removal and collection, as well as installation of the repaired or replaced Product.
Any Product brought into conformity under the legal guarantee of conformity benefits from a six-month extension of that guarantee.
If the non-conforming Product is replaced because, despite the Customer’s choice, it was not brought into conformity by the Seller, the replacement starts a new legal guarantee of conformity period for the Customer from the date of delivery of the replacement Product.
If the requested remedy is impossible or would entail disproportionate costs under the conditions set out in Article L 217-12 of the French Consumer Code, the Seller may refuse it. If the conditions set out in Article L 217-12 of the French Consumer Code are not met, the Customer may, after giving formal notice, seek enforcement in kind of the remedy originally requested, in accordance with Articles 1221 et seq. of the French Civil Code.
Finally, the Customer may require a price reduction or termination of the sale (unless the lack of conformity is minor) in the cases provided for in Article L 217-14 of the French Consumer Code.
Where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the sale, the Customer is not required to first request repair or replacement of the non-conforming Product.
The price reduction is proportional to the difference between the value of the Product delivered and the value of the goods without the lack of conformity.
In the event of termination of the sale, the Customer is reimbursed the price paid in return for returning the non-conforming Products to the Seller, at the Seller’s expense.
The refund is made upon receipt of the non-conforming Product or of proof that the Customer has sent it back, and no later than fourteen days thereafter, using the same payment method as that used by the Customer, unless the Customer expressly agrees otherwise, and in any event at no additional cost.
The foregoing provisions are without prejudice to any damages that may be awarded to the Customer for any loss suffered as a result of the lack of conformity.

9-2. Legal guarantee against hidden defects
The Seller is liable for hidden defects under the legal guarantee against hidden defects resulting from a defect in material, design or manufacture affecting the products delivered and making them unfit for use.
The Customer may decide to invoke the guarantee against hidden defects in the Products in accordance with Article 1641 of the French Civil Code; in this case, they may choose between termination of the sale and a reduction of the sale price in accordance with Article 1644 of the French Civil Code.

9-3. Exclusion of guarantees
The Seller cannot be held liable in the following cases:

  • failure to comply with the legislation of the country in which the Products are delivered, which the Customer is responsible for checking before placing the order;

  • misuse, use for professional purposes, negligence or lack of maintenance on the part of the Customer, as well as normal wear and tear of the Product, accident or force majeure.

Box inserted in the General Terms and Conditions of Sale pursuant to Article D 211-2 of the French Consumer Code concerning the legal guarantees of conformity and against hidden defects:

The consumer has two years from delivery of the goods to invoke the legal guarantee of conformity if a lack of conformity appears. During this period, the consumer is only required to establish the existence of the lack of conformity, not the date on which it appeared. Where the contract of sale provides for the continuous supply of digital content or a digital service for a period of more than two years, the legal guarantee applies to that digital content or digital service throughout the planned supply period. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service, not the date on which it appeared. The legal guarantee of conformity requires the professional, where applicable, to provide all updates necessary to keep the goods in conformity. The legal guarantee of conformity entitles the consumer to repair or replacement of the goods within thirty days of their request, free of charge and without major inconvenience to them. If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee. If the consumer requests repair of the goods but the seller imposes replacement, the legal guarantee of conformity is renewed for a period of two years from the date of replacement of the goods. The consumer may obtain a reduction in the purchase price while keeping the goods, or terminate the contract and obtain a full refund in return for returning the goods, if: (1) the professional refuses to repair or replace the goods; (2) the repair or replacement takes place after a period of thirty days; (3) the repair or replacement causes major inconvenience to the consumer, in particular where the consumer permanently bears the costs of collecting or removing the non-conforming goods, or bears the costs of installing the repaired or replacement goods; (4) the lack of conformity persists despite the seller’s unsuccessful attempt to remedy it. The consumer is also entitled to a price reduction or termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination. In that case, the consumer is not required to first request repair or replacement of the goods. The consumer is not entitled to termination of the sale if the lack of conformity is minor. Any period during which the goods are out of use for repair or replacement suspends the remaining guarantee period until the goods are returned in working order. The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code. A seller who in bad faith obstructs the implementation of the legal guarantee of conformity is liable to a civil fine of up to €300,000, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code). The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code for a period of two years from discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept, or to a full refund in return for returning the goods.

ARTICLE 10 – After-sales service
The Products are covered by an after-sales service, which falls under neither the legal guarantees nor the commercial guarantee, to which the Customer may subscribe under the conditions set out in the appendix to these General Terms and Conditions of Sale.

ARTICLE 11 – Protection of personal data
Pursuant to Law No. 78-17 of 6 January 1978, as amended by Law No. 2018-493 of 20 June 2018, the Customer is reminded that the personal data requested is necessary, in particular, to process their order and issue invoices.
The personal data collected is necessary for processing orders and managing the business relationship. It may be passed on only to our technical service providers and contractual partners responsible for fulfilment (payment, delivery), strictly within this framework. It is kept for 3 years from the end of the business relationship. In accordance with the GDPR, you have the right to access, rectify, object to, erase, restrict and port your data, which you can exercise by writing to contact@airborne.fr. For more information, please see our privacy policy: https://www.airborne.fr/politiquedeconfidentialite

The processing of information provided via the website www.airborne.fr complies with legal requirements regarding the protection of personal data, with the information system used ensuring optimal protection of this data.
In accordance with the national and European regulations in force, the Customer has a permanent right of access, modification, rectification, objection, portability and restriction of processing with regard to information concerning them.
This right may be exercised under the conditions and in the manner set out on the website www.airborne.fr.

ARTICLE 12 – Intellectual property
The content of the website www.airborne.fr is the property of the Seller and its partners and is protected by French and international intellectual property laws.
Any total or partial reproduction of this content is strictly prohibited and may constitute an offence of infringement.

ARTICLE 13 – Unforeseeability (hardship)
In the event of a change in circumstances that was unforeseeable at the time the contract was concluded, in accordance with Article 1195 of the French Civil Code, the Party that did not agree to bear the risk of excessively onerous performance may request that the other Party renegotiate the contract.

ARTICLE 14 – Force majeure
The Parties cannot be held liable if the non-performance or delay in performance of any of their obligations described herein results from a case of force majeure within the meaning of Article 1218 of the French Civil Code.

ARTICLE 15 – Termination procedure
It is recalled that, in accordance with legal provisions, the contract may be terminated electronically where it was concluded electronically or where, on the date of termination, the Seller offers Customers the possibility of concluding contracts electronically.
To this end, a free feature is made available to the Customer, enabling them to carry out electronically the notification and all steps necessary to terminate the contract. The Seller must acknowledge receipt by informing the Customer, on a durable medium and within a reasonable time, of the date on which the contract ends and the effects of the termination.

ARTICLE 16 – Governing law – Language
These General Terms and Conditions of Sale and the transactions arising from them are governed by French law.
They are written in French. If they are translated into one or more other languages, only the French text shall be authoritative in the event of a dispute.

ARTICLE 17 – Disputes
All disputes that may arise from purchase and sale transactions concluded under these General Terms and Conditions of Sale, concerning their validity, interpretation, performance, termination, consequences and aftermath, and which could not be resolved between the Seller and the Customer, shall be submitted to the competent courts under ordinary law.
The Customer is informed that they may in any event have recourse to conventional mediation, in particular with the Consumer Mediation Commission (French Consumer Code, Art. L 612-1) or with existing sector-specific mediation bodies, details of which are given on the website www.airborne.fr, or to any alternative dispute resolution method (conciliation, for example) in the event of a dispute.
The mediator’s contact details and referral procedure are as follows:

In the event of a dispute between the professional and the consumer, they will endeavour to find an amicable solution.

Failing an amicable agreement, the consumer may refer the matter, free of charge, to the consumer mediator to which the professional belongs, namely [ ], within one year of the written complaint sent to the professional.

Referral to the consumer mediator must be made:

  • either by completing the form provided for this purpose on the AME CONSO website: www.mediationconso-ame.com;

  • or by post to AME CONSO, 197 Boulevard Saint-Germain, 75007 Paris, France.

It is recalled that mediation is not compulsory but is offered solely to resolve disputes without recourse to the courts.
If the dispute must be brought before the courts, it is recalled that, pursuant to Article L 141-5 of the French Consumer Code, the consumer may refer the matter, at their choice, to one of the courts with territorial jurisdiction under the Code of Civil Procedure or to the court of the place where they resided at the time the contract was concluded or the harmful event occurred.
It is also recalled that, in accordance with Article 14 of Regulation (EU) No 524/2013, the European Commission has set up an Online Dispute Resolution platform to facilitate the independent out-of-court settlement of online disputes between consumers and professionals in the European Union.

ARTICLE 18 – Pre-contractual information – Customer acceptance
The Customer acknowledges having been informed by the Seller in a legible and comprehensible manner, through these General Terms and Conditions of Sale, prior to their immediate purchase or the placing of the order and in accordance with Article L 221-5 of the French Consumer Code, of:

  • the essential characteristics of the Products, in particular the specifications, illustrations and indications of dimensions or capacity enabling them to purchase the Products with full knowledge of the facts, particularly with regard to their conditions of use. The photographs and graphics shown are not contractually binding and shall not give rise to any liability on the part of the Seller. The Customer must refer to the description of each Product to learn of its properties and essential features;

  • the price of the Products and the application of any personalised price based on automated decision-making, and any additional charges or, where no price is paid, any benefit provided instead of or in addition to it, and the nature of that benefit;

  • the terms of payment, delivery and performance of the contract of sale;

  • where the sale is not performed immediately, the delivery times for the Products ordered;

  • the identity of the Seller and all of its contact details;

  • the existence and terms of implementation of the guarantees (legal guarantee of conformity, guarantee against hidden defects, any commercial guarantees) and, where applicable, the after-sales service;

  • the possibility of using a consumer mediator, whose contact details appear in these General Terms and Conditions of Sale, under the conditions provided for in the French Consumer Code;

  • the right of withdrawal (existence, conditions, time limit, procedure for exercising this right and standard withdrawal form), the termination procedure, complaint handling and other important contractual conditions and, where applicable, the cost of using the distance communication technique, the existence of codes of conduct, and deposits and financial guarantees;

  • the accepted means of payment.

By placing an order on the website www.airborne.fr, the Customer fully and entirely adheres to and accepts these General Terms and Conditions of Sale and is obliged to pay for the Products ordered, which the Customer expressly acknowledges, waiving in particular the right to rely on any conflicting document, which would not be enforceable against the Seller.
